Abstract [sv]

I denna kandidatuppsats görs en rättsekonomisk analys av huruvida fastighetsmäklarens ekonomiska incitament samspelar med uppdragsgivarens intressen samt hur olika ersättningsformer påverkar fastighetsmäklarens incitament och prestation. Att fastighetsmäklaren har intressen som uppdragsgivaren inte delar har blivit erkänt av lagstiftaren. Detta har resulterat i att fastighetsmäklarlagen innehåller vissa förbud, bland annat förbud om förtroenderubbande verksamhet enligt 14 § fml vilken anger att fastighetsmäklaren inte får ägna sig åt sådant som kan rubba förtroendet för denne. Utöver förbud har fastighetsmäklaren även skyldigheter, såsom att agera enligt god fastighetsmäklarsed, 8 § fml. Inom ramen för detta arbete görs ett antagande om att fastighetsmäklaren och dess uppdragsgivare strävar efter nyttomaximering. Fastighetsmäklaren har rätt till ersättning när samtliga rekvisit i 23 § 1 st. fml är uppfyllda, likaså är uppdragsgivaren skyldig att betala ersättning till fastighetsmäklaren när samtliga rekvisit är uppfyllda. De teorier vi baserat vår ekonomiska del på är asymmetrisk information, principal agent-teorin och moral hazard. Av dessa framgår att en part som besitter information vilken den andra parten inte har, erhåller informativa fördelar och kan ges möjlighet att beakta sina privata intressen på bekostnad av den andre. Hur fastighetsmäklarens prestation ser ut kan skilja sig beroende på ersättningsform. De ekonomiska incitamenten har analyserats utifrån tre olika ersättningsformer; rak provision, provisionstrappa och fast arvode. Vi kommer fram till att informationsasymmetri råder mellan fastighetsmäklaren och uppdragsgivaren. Denna informationsasymmetri resulterar i moral hazard och principal agent-problem. Den ersättningsform som torde vara lämpligast att använda för att jämka samman de ekonomiska incitamenten är provisionstrappa. Rak provision är möjligen inte tillräckligt lönsamt för att skapa en extra ansträngning hos fastighetsmäklaren. Ett fast arvode torde endast motivera en ansträngning hos fastighetsmäklaren tills dess att rekvisiten i 23 § fml är uppfyllda. Trots att provisionstrappa framstår som den mest optimala ersättningsformen finns nackdelar. Den öppnar upp för illojalt agerande hos fastighetsmäklaren då denne får möjlighet att vilseleda uppdragsgivaren. Sökord: incitament, asymmetrisk information, provision, fastighetsmäklare

Abstract [en]

In this bachelor thesis a law and economics analysis have been made regarding whether or not the real estate broker’s economic incentives interact with the principal’s interests and how different compensation types affect the real estate broker’s incentives and performance. The real estate broker has got interests which the principal does not share and this have been recognized by the legislator. This has resulted in certain prohibitions within the Estate Agents Act (EAA) including the prohibition of confidence disrupting activities according to 14 § fml which indicates that the real estate broker must not engage in activities which can displace the confidence for him or her. Besides prohibitions the real estate broker does also have obligations, such as acting according to sound estate agency practice, 8 § fml. Within this master thesis, an assumption that the real estate broker and his principal are aiming for utility maximization has been made. The real estate broker has the right to compensation when all requisites within § 23 1 st. fml are achieved, and the principal is obliged to pay the real estate broker when all requisites are achieved. The theories we have based our economic section on are asymmetric information, the principal agent theory and moral hazard. According to these theories it appears that one party which has got information that the other party does not, is gaining information advantages and gets the possibility to consider his private interests at the expense of the other. What the real estate broker’s performance look like can differ depending on the compensation type. The economic incentives have been analyzed on the basis of three different compensation types; straight commission, progressive commission and fixed commission. We find that asymmetric information prevails between the real estate broker and the principal. This information asymmetry is resulting in moral hazard and principal agent problems. The compensation type which should be the most appropriate to use for linking the economic incentives together is progressive commission. Straight commission is possibly not profitable enough to create extra effort for the real estate broker. Fixed commission should possibly only motivate the real estate broker to perform until the requisites within 23 § fml are fulfilled. Even though a progressive commission seems to be the most optimal compensation type, there are disadvantages. The progressive commission open up for disloyal behavior by the real estate broker since he gets the possibility to deceive the principal.
